Terms and conditions

GTBuddy provides a complete commerce platform that enables merchants to unify their commerce activities. Among other features, this platform includes a range of tools for merchants to build and customize online stores, sell in multiple places (including web, mobile, social media, online marketplaces, and other online locations (“Online Services”) and in person (“POS Services”)), manage products, inventory, payments, fulfillment, shipping, business operations, marketing and advertising, and engage with existing and potential customers. Any such service or services offered by GTBuddy are referred to in these Terms of Services as the “Service(s)”. Any new features or tools that are added to the current Services will also be subject to the Terms of Service. GTBuddy App is managed by Gaggle Thread Technologies Pvt Ltd.

You must read, agree with, and accept all of the terms and conditions contained or expressly referenced in these Terms of Service, including GTBuddy’s Privacy Policy.

Account Terms:

1. To use GTBuddy's Services, you must create a GTBuddy account ("Account"). This requires providing your full legal name, business address, phone number, valid email address, and any other necessary information. GTBuddy reserves the right to reject your account application or cancel an existing account at its discretion.
2. You must be at least 18 years old, or the age of majority in your jurisdiction, to open an Account.
3. By using GTBuddy’s Services, you confirm that you are doing so for business purposes and not for personal, household, or family use.
4. GTBuddy will use the email address you provide during account registration (or as updated) as the main communication method ("Primary Email Address"). You must monitor this email and ensure it can send and receive messages. Communications from GTBuddy can only be authenticated if they come from your Primary Email Address.
5. You are responsible for securing your password. GTBuddy is not liable for any loss or damage resulting from your failure to maintain account and password security. GTBuddy may require additional security measures at any time.
6. Technical support is available only to GTBuddy Users. Questions regarding the Terms of Service should be directed to GTBuddy Support.
7. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the Service, use of the Services, or access to the Services without GTBuddy's express written permission.
8. You agree not to use automated means such as robots, spiders, or scrapers to access the Services or monitor any material or information from the Services.
9. You understand that your Materials may be transmitted unencrypted and may involve (a) transmissions over various networks; and (b) changes to meet technical requirements of connecting networks or devices. "Materials" refers to your trademarks, copyrighted content, any products or services sold through the Services, including their descriptions and prices, and any other data you or your affiliates provide to GTBuddy.

Payments and Fees

• You are required to keep a valid payment method on file with us to cover all incurred and recurring fees. GTBuddy will charge these fees to any authorized payment method you provide ("Authorized Payment Method") and will continue to do so until the Services are terminated and all outstanding fees are fully paid.
• Subscription fees are paid in advance and billed in 30-day intervals ("Billing Date"). Transaction fees and additional fees will be charged periodically at GT Buddy’s discretion. On each Billing Date, you will be charged for any outstanding fees that haven't been previously billed. These fees will be detailed on an invoice sent to the Store Owner via the provided Primary Email Address. You can also go with one-time payment as per our different pricing plans that can be billed as monthly, quarterly, half-yearly or yearly
• To proceed with payments, you may use options like payment via credit card, debit card, or UPI method.
• The cold period will begin after 6 months. Users are given a 15-day grace period to make their payments. If payments are not processed within these 15 days, your account will be terminated. If a user has been with GTBuddy for less than 6 consecutive months and fails to process payments, their account may also be terminated within the next 2 days
• You are responsible for all applicable taxes resulting from your subscription to or purchase of GTBuddy’s products and services. If GTBuddy charges these taxes, they are calculated based on the tax rates applicable to the government norms. These amounts are in addition to the fees for the products and services and will be billed to your Authorized Payment Method.
• To cancel your recurring charges, you may request the GTBuddy support team to stop further upcoming charges. You can also stop the upcoming charges directly from your credit/debit card or UPI accounts.
• GTBuddy never asks for your banking information like credit/debit card details, account details, and UPI details. All the payments will be made by the authorized payment gateway page.

Refunds

• GTBuddy has no refund policy for monthly plans. You may get partial refunds as per the utilization of services only on half-yearly and yearly plans. The amount will be calculated as:

  (Current Monthly Plan of the chosen Yearly plan * period of service utilizations) + 10% service fees

• In case you opt for any services from us, then the refund will be calculated as per the service quotation shared with you.
• Your refund amount will be initiated within the next 15 business days.

Taxes and platform fees will not be refunded.

Confidentiality

1. "Confidential Information" includes, but is not limited to, any information related to a party’s business that is not publicly known. This encompasses specific business details, technical processes and formulas, software, customer and prospective customer lists, names, addresses, and other related information, product designs, sales data, costs (including processing fees), price lists, unpublished financial information, business plans, marketing data, and any other proprietary information, regardless of whether it is marked as confidential. GTBuddy’s Confidential Information includes all non-public information you receive about us or the Services, including details about our security program and practices.
2. Confidential Information does not include information that the receiving party can demonstrate:

   a) was publicly known or already in its possession at the time of disclosure;

   b) was independently developed without using or referring to the other party’s

   Confidential Information and without breaching these Terms of Service; or

   c) was rightfully obtained from another source without breaching these Terms of Service.

Limitation of Liability and Indemnification

You expressly understand and agree that, to the extent permitted by applicable law, GTBuddy and its suppliers will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses arising from or related to the use or inability to use the Service or these Terms of Service (including negligence).

You agree to indemnify and hold harmless GTBuddy, its parent, subsidiaries, affiliates, partners, officers, directors, agents, employees, and suppliers from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of (a) your breach of these Terms of Service or the documents it incorporates by reference (including the AUP); (b) your violation of any law or the rights of a third party; or (c) any aspect of the transaction between you and your Customer, including but not limited to refunds, fraudulent transactions, alleged or actual violations of applicable laws (including Federal and State consumer protection laws), or your breach of these Terms of Service.

You are responsible for any breach of the Terms of Service by your affiliates, agents, or subcontractors and will be liable as if it were your breac

Your use of the Services is at your own risk. The Services are provided on an “as is” and “as available” basis without any warranties or conditions, whether express, implied, or statutory. GTBuddy does not warrant that the Services will be uninterrupted, timely, secure, or error-free. GTBuddy does not guarantee that the results obtained from using the Services will be accurate or reliable. GT Buddy is not responsible for any tax obligations or liabilities related to your use of GTBuddy’s Services. GTBuddy does not warrant that the quality of any products, services, information, or other materials purchased or obtained through the Services will meet your expectations or that any errors in the Services will be corrected.

Feedback and Reviews

GTBuddy welcomes any ideas and suggestions for improving or adding to the Services. Any disclosure of ideas, suggestions, related materials, or reviews of the Services, Third Party Services, or Third Party Providers ("Feedback") to GTBuddy is not subject to any obligation of confidentiality or expectation of compensation. By submitting Feedback to any forum, you waive all rights to the Feedback. GTBuddy is free to use and implement the Feedback as provided or as modified by GTBuddy without needing permission or a license from you or any third party. Any reviews of Third Party Services or Third Party Providers that you submit to GTBuddy must be accurate to the best of your knowledge and must not be illegal, obscene, threatening, defamatory, invasive of privacy, infringing on intellectual property rights, or otherwise harmful or objectionable. GTBuddy reserves the right (but is not obligated) to remove or edit Feedback on Third Party Services or Third Party Providers, though it does not regularly review posted Feedback.
